Act on Business Corporations

The Business Corporations Act is one of the key regulations of the new private law and replaces the Commercial Code with effect from 1 January 2014. It contains the regulation of commercial corporations - commercial companies (public company, limited partnership, limited liability company, joint stock company) and cooperatives. It brings a number of revolutionary changes that companies and cooperatives have to deal with. Here is the full text with an introductory commentary aimed at facilitating this work for entrepreneurs. The commentary introduces the reader to the relationship of the Act to other private law regulations, in particular the new Civil Code and the Registry Act, and presents the structure of the Act.
